These Terms of Service ("Terms") govern your access to and use of the AreaTech platform, APIs, SDKs, and related services (collectively, the "Service") provided by AreaTech, Inc. ("AreaTech", "we", "us", or "our").
By accessing or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
To use the Service, you must create an account by providing accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use.
You agree to use the Service only for lawful purposes and in accordance with these Terms. You shall not:
You retain all ownership rights in the data you submit to the Service ("Customer Data"). You grant us a limited license to process Customer Data solely to provide the Service to you. We will process Customer Data in accordance with our Privacy Policy and applicable Data Processing Agreement.
We do not sell Customer Data to third parties. Aggregated and anonymized data may be used to improve the Service and develop industry benchmarks.
For paid plans, we commit to a 99.9% monthly uptime SLA. Service credits are available for qualifying downtime events as described in our SLA documentation. The Indie (free) tier is provided on a best-effort basis without uptime guarantees.
Paid subscriptions are billed monthly or annually in advance. Prices are exclusive of applicable taxes. We may change pricing with 30 days' written notice. Overages beyond your plan's included usage are billed at published rates.
The Service, including all software, documentation, trademarks, and content, is owned by AreaTech and protected by intellectual property laws. These Terms do not grant you any rights to our intellectual property except the limited right to use the Service as described herein.
Each party agrees to protect the other party's Confidential Information with at least the same degree of care it uses for its own confidential information, but no less than reasonable care. Confidential Information excludes information that is publicly available, independently developed, or rightfully received from a third party.
Either party may terminate these Terms with 30 days' written notice. We may suspend or terminate your access immediately if you breach these Terms. Upon termination, you may export your Customer Data within 30 days. After that period, we may delete your data.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AREATECH'S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM. IN NO EVENT SHALL AREATECH BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
You agree to indemnify and hold harmless AreaTech from any claims, damages, or expenses arising from your use of the Service, your Customer Data, or your violation of these Terms.
We may update these Terms from time to time. We will notify you of material changes at least 30 days before they take effect. Continued use of the Service after changes become effective constitutes acceptance of the new Terms.
These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Wilmington, Delaware.
